1. Definitions

  • “BGS,” “We,” “Us,” or “Our” refers to Broda Global Solutions Pvt. Ltd.

  • “Client,” “You,” or “Your” refers to any individual, company, or entity using our services.

  • “Services” refers to all offerings by BGS including Managed Services, Consulting, and Manpower Solutions.

 

2. Scope of Services
BGS provides professional services based on the scope defined in written proposals, contracts, or mutual agreement. Any changes in scope may result in revised timelines, deliverables, or fees.

 

3. Client Obligations

  • Clients agree to provide accurate information, timely feedback, and necessary access to complete services efficiently.

  • Clients shall not misuse, duplicate, or redistribute any proprietary tools, documents, or resources shared during service delivery.

 

4. Payment Terms

  • All service fees are to be paid as per the agreed terms (advance, milestone, or monthly).

  • Delayed payments may attract late fees and/or suspension of service.

  • All payments must be made in agreed currency and inclusive of applicable taxes.

 

5. Confidentiality
Both parties agree to keep all confidential information private. Neither party shall disclose any sensitive business, financial, or strategic information shared during the course of the engagement, unless legally obligated.

 

6. Intellectual Property
All content, deliverables, and materials created by BGS for the client will be the client’s property upon full payment. BGS retains the right to use anonymized versions for portfolio and marketing purposes unless explicitly restricted.

 

7. Cancellations & Refunds
Refer to our Refund & Cancellation Policy for full details on service termination and eligibility for refunds.

 

8. Limitation of Liability
BGS shall not be liable for:

  • Indirect, incidental, or consequential damages.

  • Loss of business, data, or revenue due to delays or service disruptions.

  • Any issue resulting from inaccurate information or negligence on the client’s part.

Our total liability shall not exceed the amount paid by the client for the specific service.
 

9. Termination of Services
We reserve the right to suspend or terminate services:

  • For breach of terms by the client

  • Non-payment

  • Any unlawful or unethical behavior

Either party may terminate the engagement with written notice and settlement of all dues.
 

10. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of India, with exclusive jurisdiction in the courts of Gandhinagar, Gujarat.

 

11. Force Majeure
BGS is not liable for delays or failure in performance due to events beyond our control, including but not limited to natural disasters, war, government action, network failures, or pandemics.

 

12. Amendments
BGS may update these Terms & Conditions from time to time. Clients will be notified of material changes, and continued use of our services implies acceptance of the revised terms.
